ZUUP TERMS AND CONDITIONS

Welcome to ZUUP, a digital marketplace and technology platform owned and operated by KAWIWI International Limited ("KAWIWI," "ZUUP," "we," "us," or "our").

ZUUP provides users with access to a variety of services including online shopping, food delivery, grocery delivery, pharmacy ordering, parcel delivery, courier services, car rental, and any other products or services introduced from time to time.

By downloading, registering for, accessing, or using ZUUP, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions.

If you do not agree to these Terms, you must immediately discontinue use of the platform.

1. DEFINITIONS

  • ZUUP means the digital platform and all related mobile applications, websites, APIs, and services operated by KAWIWI International Limited.
  • KAWIWI International Limited means the legal entity incorporated in Zambia and owner of ZUUP.
  • User means any customer, visitor, or business using the platform.
  • Vendor means any independent merchant, restaurant, pharmacy, retailer, or service provider offering goods or services through ZUUP.
  • Rider means an independent delivery contractor.
  • Car Owner means an independent vehicle owner listing vehicles for rental.
  • Order means any purchase, booking, or service request.
  • Services means all products and services available on ZUUP.

2. PLATFORM STATUS

ZUUP is solely a technology platform that connects users with independent third-party vendors, pharmacies, restaurants, retailers, drivers, riders, and vehicle owners.

KAWIWI International Limited:

  • Does not manufacture products.
  • Does not own most listed inventory.
  • Does not prepare food.
  • Does not dispense medicines.
  • Does not own rental vehicles unless expressly stated.
  • Does not employ riders as employees.
  • Does not guarantee vendor performance.

All transactions are entered into directly between the user and the applicable third-party provider.

3. ELIGIBILITY

Users must:

  • Be at least 18 years old.
  • Have legal capacity to contract.
  • Provide accurate and current information.
  • Use the platform lawfully.

4. USER REPRESENTATIONS

By using ZUUP, you represent and warrant that:

  • All information provided is true and accurate.
  • You have authority to use the selected payment method.
  • You will honour all confirmed orders.
  • You will not place fraudulent or speculative orders.
  • You will comply with all applicable laws.

5. SERVICES

ZUUP may provide access to:

  • ZUUP Online Shopping
  • Food Delivery
  • Grocery Delivery
  • Pharmacy Ordering and Delivery
  • Parcel Delivery and Courier Services
  • Car Rental
  • Additional digital and physical services introduced in the future

Availability may vary by location and may be changed or discontinued without notice.

6. ORDER ACCEPTANCE

All orders are subject to acceptance, stock availability, pricing verification, and operational feasibility.

ZUUP reserves the right to:

  • Reject or cancel any order.
  • Correct pricing errors.
  • Limit quantities.
  • Require additional verification.
  • Refuse service to any user.

7. PAYMENTS

Accepted payment methods may include:

  • Cash on Delivery
  • Mobile Money
  • Debit and Credit Cards
  • Wallet Credits
  • Any other approved payment methods

All payments are final except where refunds are expressly approved.

8. CASH ON DELIVERY POLICY

When selecting Cash on Delivery, you enter into a legally binding commitment to pay in full upon delivery.

If you fail to accept or pay for an order, KAWIWI may:

  • Charge delivery and return fees.
  • Recover all related costs.
  • Suspend or terminate your account.
  • Report unpaid debts to collection agents or legal counsel.
  • Institute court proceedings.

9. PRODUCT DISCLAIMER

All products are offered by independent vendors.

KAWIWI does not warrant:

  • Merchantability
  • Fitness for a particular purpose
  • Authenticity
  • Quality
  • Safety
  • Legality
  • Accuracy of descriptions

Users purchase and use products entirely at their own risk.

10. FOOD DELIVERY DISCLAIMER

KAWIWI is not responsible for:

  • Food preparation
  • Allergens
  • Food poisoning
  • Nutritional accuracy
  • Restaurant hygiene

Users with allergies or medical conditions must verify ingredients directly with the restaurant.

11. PHARMACY AND MEDICAL DISCLAIMER

ZUUP is not a pharmacy, doctor, or healthcare provider.

KAWIWI:

  • Does not diagnose illnesses.
  • Does not prescribe medication.
  • Does not guarantee medication suitability.
  • Does not provide medical advice.

Users must consult licensed medical professionals before using any medication.

12. CAR RENTAL DISCLAIMER

Rental vehicles are provided by independent third parties.

KAWIWI is not liable for:

  • Accidents
  • Theft
  • Injury
  • Mechanical failure
  • Insurance disputes
  • Traffic offences
  • Third-party claims

Users assume all risks associated with vehicle use.

13. PARCEL DELIVERY DISCLAIMER

KAWIWI is not liable for:

  • Improper packaging
  • Delays
  • Damage to fragile items
  • Loss resulting from incorrect addresses
  • Prohibited or illegal contents

Compensation, if any, shall not exceed the declared value or applicable insurance coverage.

14. FORCE MAJEURE

KAWIWI shall not be liable for failure or delay caused by:

  • Weather
  • Floods
  • Fire
  • Pandemics
  • Civil unrest
  • Government actions
  • Internet outages
  • Power failures
  • Strikes
  • Traffic disruptions

15. USER CONDUCT

Users must not:

  • Violate laws
  • Harass vendors or riders
  • Upload harmful material
  • Interfere with platform operations
  • Reverse engineer software
  • Commit fraud

16. INDEMNIFICATION

You agree to indemnify and hold harmless KAWIWI International Limited, its directors, shareholders, employees, affiliates, and agents from any claims, damages, losses, liabilities, costs, and legal fees arising from:

  • Your use of the platform
  • Your breach of these Terms
  • Your negligence
  • Your violation of any law
  • Disputes with third parties

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • ZUUP is provided "as is" and "as available."
  • KAWIWI makes no warranties of any kind.
  • KAWIWI shall not be liable for indirect, incidental, punitive, special, or consequential damages.
  • KAWIWI's total cumulative liability shall not exceed the total fees paid by the user to KAWIWI during the thirty (30) days preceding the event giving rise to the claim.
  • If no fees were paid, KAWIWI's liability shall be zero.

18. NO GUARANTEE OF CONTINUOUS SERVICE

KAWIWI does not guarantee that the platform will be uninterrupted, error-free, secure, or free from viruses.

19. INTELLECTUAL PROPERTY

All content, software, logos, designs, trademarks, and technology are the exclusive property of KAWIWI International Limited and may not be used without prior written consent.

20. PRIVACY

Personal data is processed in accordance with applicable Zambian law and ZUUP's Privacy Policy.

21. ELECTRONIC COMMUNICATIONS

You consent to receive communications electronically via email, SMS, WhatsApp, push notifications, and in-app messages.

22. TERMINATION

KAWIWI may suspend or terminate accounts at its sole discretion, with or without notice.

23. DISPUTE RESOLUTION

All disputes shall first be negotiated in good faith. If unresolved, they shall be referred to arbitration in Lusaka, Zambia. Courts in Lusaka shall have exclusive jurisdiction where arbitration is unavailable or enforcement is required.

24. CLASS ACTION WAIVER

Users agree that claims may only be brought in an individual capacity and not as part of any class or representative action.

25. SEVERABILITY

If any provision is found unenforceable, the remaining provisions shall continue in full force.

26. NO WAIVER

Failure to enforce any right does not constitute a waiver.

27. AMENDMENTS

KAWIWI may modify these Terms at any time. Continued use of ZUUP constitutes acceptance of the revised Terms.

ACKNOWLEDGEMENT

By using ZUUP, you expressly acknowledge that:

  • You use the platform entirely at your own risk.
  • KAWIWI International Limited acts only as a technology intermediary.
  • KAWIWI International Limited's liability is strictly limited as set out in these Terms.
  • You agree to indemnify KAWIWI against claims arising from your conduct.
  • You have read and understood these Terms and agree to be legally bound by them.
